    Unifonic Voice Service-Specific Terms

      Welcome to our Voice Service Specific Terms! These terms provide a clear understanding of our Voice Services and how we'll work together to ensure effective communication with your customers.


       Below, we've defined key terms so we're all on the same page. 

    1. Definitions and Interpretation

      In these Service Specific Terms, we've gathered some key terms and their meanings to make sure we're all on the same page. Unless we specify otherwise in the Master Services Agreement ("MSA"), you'll find these meanings below. When we talk about clause numbers, we're referring to sections within these Voice Service Specific Terms, unless stated otherwise.


      1.1. "Audio Library" refers to the repository on the Unifonic Console that allows you to upload Audio Files for sending to End Users.


      1.2. "Balance" denotes the amount available in your Voice Account.


      1.3. "Balance Refund" signifies a refund due to you if conditions for such refund are met.


      1.4. "Bring Your Own Connectivity" is defined in clause 4.


      1.5. "Caller ID" represents the number of the calling party.


      1.6. "Connection / Connected" refers to the successful delivery of Voice Services to the End User, regardless of their utilization.


      1.7. "Caller Name" has the meaning set out in clause 4.


      1.8. "Initial Balance" is the initial amount set in the Order Form.


      1.9. "Minimum Balance" signifies the minimum required balance as stated in the Order Form.


      1.10. "Rate" is the fee specified in the Order Form for Voice Services usage.


      1.11. “SPAM Message” means any Voice message and /or call is not in compline with the SPAM Voice Calls Regulation available on the following link (https://regulations.citc.gov.sa/ar/pages/public-decision.aspx#/publicDecisionDetails/469)


      1.12. "Service Specific Terms" means these service specific terms for Voice Services.


      1.13. "SIP Redundancy" is the automatic fallback service to a secondary carrier.


      1.14. "Top Up Balance" signifies fees paid to increase your Balance.


      1.15. "Voice API" has the meaning set out in clause 4.


      1.16. "Voice Campaign" refers to an outbound dialing campaign.


      1.17. "Voice Services" represent the services outlined in the Order Form.

    2. Access to the Services

      2.1. We, at Unifonic, are committed to providing you with exceptional Voice Services throughout the Term. We will make commercially reasonable efforts to ensure that you receive the highest quality service in accordance with the Agreement.


      2.2. To access and enjoy the benefits of our Voice Services, you must have a valid Unifonic Account, granting you access to a world of seamless communication.


      2.3. Your gateway to Voice Services is the Unifonic Console, providing you with a non-exclusive, non-transferable right to access and utilize the Voice Services, ensuring smooth and efficient interactions.



       

    3. Supply of Services

      3.1. Throughout the Term, Unifonic pledges to deliver Voice Services with utmost professionalism and care, ensuring your communication needs are met.


      3.2. We acknowledge that non-conformance can sometimes arise due to improper use or unauthorized alterations. If any part of our Voice Services does not conform to the terms, we will diligently work to address and rectify such instances to ensure your seamless experience.


      3.3. We value compliance with regulations and respect your audience's convenience. Therefore, messages of an advertising, marketing, or promotional nature will be sent during specific hours, enhancing engagement while respecting their time.

    4. Voice Services

      Our Voice Services encompass a diverse range of offerings tailored to your communication needs:


      4.1. Within the Audio Library, you can upload Audio Files, allowing you to share essential information with End Users in an engaging manner.


      4.2. Caller ID provides a personalized touch, enabling effective communication with recipients.

       

      4.3. Our Voice APIs empower you to utilize versatile tools, including Audio ID, Text-to-Speech, One-time Password (OTP), and Interactive Voice Response (IVR), enhancing your interaction capabilities.


      4.4. Voice Campaigns enable outbound dialing campaigns, connecting you with your audience effectively.


      4.5. Number Masking enhances privacy and control by allowing you to interact while protecting sensitive information.


      4.6. SIP Redundancy ensures uninterrupted service by automatically switching to a secondary carrier in case of connectivity issues.


      4.7. Should any aspect of our Voice Services be deemed contrary to regulations or laws; we offer flexibility to reallocate your Balance or provide refunds.


      4.8. Caller Name enhances caller identification, adding an extra layer of professionalism to your communications.


      4.9. Bring Your Own Connectivity allows you to seamlessly integrate our Voice Services with your existing network infrastructure, fostering control and adaptability.

    5. Customer's Obligations

      5.1. During the Term, the Customer shall comply with all applicable laws and regulations of the Kingdom of Saudi Arabia, including but not limited to the following:

      5.1.1. The Customer shall refrain from sending any voice messages containing content that violates any Saudi Arabian regulations.

      5.1.2. When conducting advertising calls to End Users, the Customer must:
      (a) Provide the End User with the option to give explicit consent to receive advertising calls; implicit consent through privacy policies or service contracts shall not be considered valid. The burden of proof of such consent shall lie with the call initiator.
      (b) Enable the End User to request cessation of advertising calls at any time, through both traditional and electronic channels.
      (c) Cease all advertising calls within a period not exceeding twenty-four (24) hours from receipt of a cessation request.
      (d) Send a notification confirming the activation or deactivation of receiving advertising calls upon receipt of such a request.
      (e) Disclose, at the beginning of each educational, advertising, or service call, the purpose of the call, the entity represented, whether the recipient wishes to continue the call, and confirm that the call is made using official contact numbers listed on the entity’s website or official communication channels.
      (f) Coordinate with relevant authorities prior to conducting any educational calls to End Users.
      (g) Refrain from conducting advertising or educational calls between 10:00 PM and 9:00 AM local time, and during the holy month of Ramadan from 1:00 AM to 12:00 PM local time.

      5.1.3. The validity of calls, as defined in the “Definitions and Interpretation” section of this Agreement, shall be as follows:
      (a) Government entities may conduct educational, service, and warning calls.
      (b) Private entities may conduct advertising, educational, and service calls.
      (c) The Customer may use the Voice Services only to transmit personal or general messages introducing the Customer’s services or products, warning messages, security authorization messages (such as one-time passwords), or notification messages sent to its direct or indirect customers.

      5.1.4. The Customer shall provide Unifonic with:
      (a) All necessary cooperation in relation to these Service-Specific Terms; and
      (b) All information or access required by Unifonic, as mandated by applicable law, a regulatory authority, an Operator, or as necessary to provide the Voice Services—including, without limitation, data, security access information, and configuration services.

      5.1.5. The Customer shall:
      (a) Carry out all other responsibilities set out in this Agreement in a timely and efficient manner;
      (b) Ensure that Authorized Users utilize the Voice Services and Unifonic Console in accordance with these Service-Specific Terms and any other applicable terms issued by Unifonic, and the Customer shall be liable for any breach by its Authorized Users;
      (c) Assume full responsibility for the content and accuracy of information sent to End Users via the Voice Services. The Customer acknowledges and agrees that Unifonic is under no obligation to monitor or censor any content transmitted through the Voice Services;
      (d) Acknowledge and agree that there is no crossover or transfer of balances between any other accounts the Customer may hold with Unifonic across different platforms;
      (e) Ensure that its systems and networks comply with the technical specifications provided by Unifonic from time to time; and
      (f) Be solely responsible, to the extent permitted by applicable law, for maintaining and securing its own network connections and telecommunications links to the Unifonic Platforms, as well as for all delays, failures, losses, or damages arising from such connections.

      5.2. Prohibited Conduct

      The Customer shall not:
      (a) Distribute or transmit any material via the Voice Services or Unifonic Platforms that:
        • Is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing, or offensive;
        • Facilitates illegal activity;
        • Depicts sexually explicit content;
        • Promotes violence or tobacco products;
        • Is discriminatory based on race, gender, color, religion, sexual orientation, or disability;
        • Infringes any intellectual property rights of Unifonic or any third party; or
        • Is otherwise illegal or harmful to any person or property.
      (b) Use the Voice Services to send unsolicited or unnecessary voice messages to any End User.

      5.3. Unifonic reserves the right, without liability, to suspend or disable the Customer’s access to the Voice Services or Unifonic Platforms if it becomes aware of any actual or potential breach of this Clause 5.

      5.4. The Customer shall use all reasonable efforts to prevent unauthorized access to or use of the Voice Services or Unifonic Platforms. In the event of any unauthorized access or use, the Customer must immediately notify Unifonic.

      5.5. Liability for Regulatory Penalties

      In the event that the Customer breaches any provision of this Agreement and such breach results in the imposition of any fine, penalty, or sanction on Unifonic by the Communications, Space & Technology Commission (CST), Unifonic shall be entitled to recover from the Customer the full amount of such fine, penalty, or sanction, together with all related costs, including without limitation legal fees, attorney fees, and any other expenses incurred by Unifonic in connection therewith.

       

    6. Fees

      6.1. Your usage of our Voice Services and access to the Unifonic Console are subject to the payment of Fees as outlined in this clause.


      6.2. Upon commencement, the Initial Balance ensures you have the resources needed for an uninterrupted experience with our Voice Services.


      6.3. The Balance is your lifeline for Voice Services, ensuring continuous communication with End Users.


      6.4. We acknowledge that proper utilization of your Balance is essential; therefore, we do not provide refunds during or after the Term.


      6.5. We understand the significance of the Initial Balance in activating your Voice Account. Please note that the Initial Balance is non-refundable.


      6.6. To ensure seamless service, it is crucial to maintain the Minimum Balance in your Voice Account, guaranteeing your continuous interaction with End Users.


      6.7. In cases of overdrawn Balance, we have the right to recover any outstanding amounts to maintain a fair usage environment.


      6.8. We understand that needs can change; therefore, we provide the option to Top Up your Voice Account at your convenience.


      6.9. If your Balance exceeds the Initial Balance at the Term's end, and no further deductions are applicable, we commit to refund the remaining Balance.


      6.10. The Customer acknowledges and understands that the payments made to Unifonic are non-refundable, and the Customer must utilize the Services within the term set out in the Order Form, otherwise, Unifonic reserves the right to demand payment of full Fees even if the Services not utilized.


      6.11. We kindly request your understanding that Fee deductions for Voice Services may not occur in real-time, but we assure you of transparent accounting.

      With these Voice Service Specific Terms, you're equipped with the knowledge to make the most of our Voice Services and create seamless interactions with your customers. We're excited to embark on this communication journey with you!
